Cap. 168 Art. 59Limited partner cannot take part in management of partnerships.

(1) A limited partner shall not perform any act of administration nor transact business on behalf of the partnership except by virtue of a power of attorney given for specified acts or transactions.

(2) If a limited partner acts in contravention of the aforesaid prohibition, he shall be bound, in regard to third parties, unlimitedly and jointly and severally with the general partners for all the obligations of the partnership and shall moreover be liable to be expelled from the partnership in accordance with the provisions of article 32. other documents of the partnership.
